Laguna Announces Letter Of Intent with Carlsbad Naturals CBD Bottled Water Company to Acquire 60% Equity Interest and Exclusive Licenses in a Transaction Valued at $1.8 MM USD

(CSE: LAG) (OTC: LAGBF) (Frankfurt: LB6A.F) (the “Company” or “Laguna, is pleased to announce that it has signed a letter of intent (the “LOI”) with Carlsbad Naturals (“Carlsbad”) whereby Laguna and Carlsbad plan to enter into an equity acquisition and exclusive licence agreement (“Equity and License Agreement”) for the purpose of pursuing mutually beneficial business opportunities in the Cannabidiol (CBD) bottled water Industry and CBD ingestible products Industry (the “Proposed Transaction”). 

Carlsbad is a market leader in the distribution and sales of nano-amplified CBD bottled water in the USA.  The Company has a proprietary process of incorporating CBD into its formulation.  Carlsbad Naturals has achieved unaudited U.S. sales in excess of $500,000 in its first year of business as of August 31, 2016.

The hemp cannabinoid innovator, Isodiol, sources nano-amplified hemp CBD to manufacturers to create unique finished products. Isodiol is a shareholder in Carlsbad.

Pursuant to the terms of the Proposed Transaction, Laguna will have the ability to acquire majority control of the Company with total equity interest of sixty percent (60%).  Laguna will initially purchase nineteen percent (19%) equity interest in Carlsbad for a one-time payment of $570,000 USD (paid for in Laguna common shares). Laguna will then have a 120-day option from the date of a signed definitive agreement to acquire an additional forty-one percent (41%) interest for $1,230,000 USD (paid in shares and cash). The common shares issued are subject to a six month hold and a lock up leak out agreement.

After completion of the first 19% equity interest in Carlsbad, Laguna, will receive exclusive Carlsbad Naturals marketing rights for CBD water in the following regions: Canada, Germany, Japan, India, South Korea and Thailand. In addition, Laguna will have nonexclusive marketing rights in the USA.  Laguna will have the ability to negotiate the transfer of marketing rights and or white label CBD water rights in these regions under the terms of the agreement. 

In addition, after completion of the first 19% equity interest in Carlsbad, Laguna will also receive the exclusive network marketing rights for VitaDots, CBD Gummies and nonexclusive retail and online marketing rights for VitaDots in the following regions: USA, Canada, Germany, Japan, South Korea and Thailand. In addition, Laguna will have the right to transfer the non- exclusive ownership rights to a third party at its discretion and negotiate white label opportunities.  

Under the licence agreement Carlsbad will grant to Laguna (i) a licence to its trade-marks to be placed on the water bottles, (ii) a right and licence to Laguna to sell the Carlsbad CBD water products in Canada, USA, Germany, Japan, India, South Korea and Thailand. (iii) a licence to its trade-marks to be placed on the VitaDot bottles, (iv) a right and licence to Laguna to sell the VitaDot products in Canada, USA, Germany, Japan, South Korea and Thailand. 

Under the licence agreement Carlsbad will grant to Laguna (i) a licence to its trade-marks to be placed on the VitaDot bottles, (ii) a right and licence to Laguna to sell the Carlsbad products in Canada, USA, Germany, Japan, South Korea and Thailand.

Laguna and Carlsbad anticipate finalizing the definitive Agreement by Nov 10, 2016.

Bottled water is poised to become the king of beverages in the United States. It seems that Americans love their bottled water. According to data recently released by Beverage Marketing Inc., the amount of bottled water sold rose 7.9 percent in 2015. That’s on top of a 7 percent increase in 2014.

Americans now drink astonishing amounts of bottled water: In 2015, we bought the equivalent of 1.7 billion half-liter bottles of water every week. That’s more than five bottles of water for every man, woman, and child in the country every single week. A typical family of four is going through one of those shrink-wrapped 24-packs of bottled water each week.

Bottled water sales in 2015 rose almost three times faster than the whole market for “liquid refreshment,” and bottled water rose even as sales of carbonated soda fell 1.5 percent, to the lowest level per person since 1985.

The flip in consumption habits between carbonated soda and bottled water just since 2000 has been dramatic.

In 2000, each American was drinking 53.7 gallons of carbonated soda a year, equal to 573 12-ounce cans a year, 11 a week. Soda consumption in 2015 was down to 38.9 gallons per person.

In contrast, from 2000 to 2015, bottled water consumption more than doubled, from 16.7 gallons a person to 36.4 gallons.

If bottled water sales continue to grow close to what they have the last two years, and carbonated soda sales fall just another one percent, 2016 will be the year that Americans buy more bottled water than packaged soda.

After 3 years of development on building both a method and community for women searching to “keep their heels and lose the pain”, Ilaria was pleased to share previously unreleased details and get feedback from her audience.  The star of the night, beside the workout itself was the premiere of the “Rescue Loop”  

Each audience member got to work out and test this patent pending small exercise device developed by Ms. Cavagna to strengthen, stretch and invigorate their feet.  While only a prototype, Ilaria was encouraged by the audience reaction and is looking forward to launching a 2017 Kick-starter campaign to go into full production.

During the interview Mr. Kitzerow stated, “Most of the clients we serve are in my generation, namely the Baby Boomers.  For this group, planning usually involves maximizing their guaranteed income streams, like pensions and Social Security, determining just how much risk they are carrying in their investment portfolio and verifying that it is appropriate for them.”

According to Kitzerow, “One thing nobody likes, but loves to talk about is income taxes.  For our Baby Boomer clients, there are strategies to reduce their current and/or future income taxes and generate tax free income.  Making sure that their retirement plan is tax efficient is vital.”

When asked if a client is a business owner, Kitzerow explained, “If our client is a business owner, or self-employed, even if they aren’t Baby Boomers, there are opportunities to help them reduce their income taxes and grow more wealth for their future.”

Kitzerow went on to explain, “The key with this group is that they must be paying, or expect to be paying at least $20,000 in federal income taxes.”

Among other misconceptions regarding retirement, Kitzerow offered, “One of the biggest misconceptions people have in preparing for retirement is that they will need less money to live. While some expenses may disappear like mortgage or tuition, the reality is this.  While you are working (8-10 hours a day) you are not spending money.  If you are not working 8-10 hours a day, what will you do. Just about anything you can think of costs money.”

The interviewer asked Kitzerow to give an example of planning for a recent client, in which he answered “One client came to me with all their retirement savings in stock market type vehicles. They were concerned about the volatility of the stock market and what a severe downturn would do to their nest egg.”

Kitzerow continued “By coordinating their resources, which included Social Security, a pension, continuing earned income and other investments, we were able to structure their plan to meet all their current needs and for the next 10 years without making any withdrawals from their stock market portfolio.  This gave them the peace of mind to allow their stock market investments to grow and provide for their future income needs.”

MOWGLI FOUNDATION RELEASES LATEST IMPACT REPORT.

The Mowgli Foundation, a UK headquartered award winning mentoring organisation in the Middle East and North Africa, recently published its latest impact report, spanning an 8 year time period. With the aim of empowering entrepreneurs to drive economic growth and employment generation, Mowgli focuses on the training and matching of mentors with entrepreneurs to support them in developing their personal and professional capacities. According to the report, over 790 entrepreneurs within the Middle East, North Africa and the UK have participated in Mowgli’s mentoring programs to date and have on average created 3.3 new jobs each during their mentoring year. This led to over $18 million of economic growth (value of new jobs created and existing jobs safeguarded) within the region during their mentoring year and an average of 890% Return on Mentoring Investment for the program funders.

The impact report highlighted that over 80% of mentored entrepreneurs were able to build up their confidence levels, 70% gained a clearer direction for their business and 68% addressed and working on overcoming their fear of failure and developed confidence in their decision making skills, resulting in 89% of Mowgli Entrepreneur’s businesses remaining operational and 90% of the existing jobs being safeguarded after the mentoring year. 

Kathleen Bury, Mowgli CEO, elaborated on these findings, “We have noticed that entrepreneurs in the MENA region face many interferences and obstacles when starting their own ventures. Our Impact report clearly shows that when those entrepreneurs are mentored, their potential of success and growth increases substantially leading the personal, business and most importantly economic growth”

Bury added, “The evidence shows that mentoring is a proven and critical way to build up the entrepreneurs’ capabilities and core spirit, which we define as confidence, resilience, motivation. WAVES Releases Assets on the Testnet: A Novel Approach for Public Blockchains

The development of the Waves Platform continues to progress with a novel approach to asset issuance and trading currently being developed and tested on the Testnet. Waves assets combine scalability enhancements on a technical level with usability and versatility on a business level.

Better scalability is achieved through a simplified payment verification (SPV) scheme that is based on authenticated data structures. This allows users to store only the states of the top volume assets, and to update them using these SPV instead of storing the balance of all the tokens. This provides a great advantage in terms of storage, scalability, and performance, given that most of the assets issued will not be actively used.

Better performance and effectiveness, other than building on top of innovative Scorex framework and preparing its production ready version at the same time, will be achieved thanks to a combination of the DPOS and LPOS approaches. The Waves Team is also working with a cryptographer on the new approach for blockchain transaction confirmations. The Scientific paper and the LPOS paper will soon be available.

The Waves Platform, with its token being the “fuel” used for all operations, aims to be a decentralized Kickstarter and an instant and decentralized asset-to-asset exchange, supporting other cryptocurrencies like Bitcoin or Ether and national currencies like EUR, USD, YUAN at the same time. Fiat gateways, payment providers at first, will be issuing their fiat backed assets on the platform by themselves. Assets can represent services, stocks, real company shares with a built in dividend system that allows a company to make payments to investors with a click of a button in any currency, domestic or digital. All the main features will be available on Lite Client without the need to download or store the blockchain.

Instant asset-to-asset exchange will be one of the main features in the Waves Platform above standard operations, it allows users to trade assets without the interference of a third party service. While the order settlement itself is carried out on the blockchain, the Order Matching process is not, thus reducing the amount of data stored on the blockchain. Instead, Order Matching is carried out by a centralized service that charges a fee for the process. Order Matching stores states of orders, stats etc and will be available as an all-in-one package together with full nodes.

The user does not have to transfer any assets to exchange accounts to be able to trade. That’s why it’s impossible to steal assets from the exchange because the matcher doesn’t own client’s assets at any time. After the orders have been matched, the matching service creates a swap transaction and sends it to the both counterparties for signing. This scheme allows the Waves exchange to be as fast or faster than centralized exchanges, and much safer for the users. 

Waves will allow the same extended functionality one would normally find only on a centralized exchange, like partial order matching, margin trading, the ability to save/restore the exchange’s state, the retrieval of all the market data via API, and a failure recovery mechanism. The same Waves Platform can be the engine for centralized exchanges to provide better security for their clients without losing any performance.

Waves will be the first production system being built on top of the Scorex framework, and the team has rewritten 80-90% of Scorex network layer to make it a near production ready system. Scorex framework is evolving at the same time, its development is lead by two great blockchain researchers, Alex Chepurnoy and Dmitry Meshkov. Waves will be supporting this great development and will most probably evolve together with it further in the future.

The hackathon hosted to discover and eliminate bugs in the  full node code is currently ongoing. All of the newly discovered issues are being addressed on a daily basis leading to more stable and secure network.
